Investment activities and services, banking and financial regulation
We assist Italian and international clients in the establishment and authorization of supervised intermediaries, branches or subsidiaries of EU and non-EU banks, non-bank financial intermediaries (including leasing, factoring and money transfers companies and loan securitization and investment companies), and operators subject to OAM regulations (including money changer operators). We have advised buyers and sellers of major holdings in supervised entities, such as Italian banking groups and brokers in the securities market or their branches on the respective regulatory issues. We also assist Italian and foreign banks, asset management and investment companies in dealing with supervisory authorities concerning banking, financial, and investment services.
Financing
We assist clients in drafting and negotiating contracts for corporate financing (bilateral or syndicated loans and related collateral and guarantees, commercial and export loans, leasing and factoring) to more complex transactions, such as acquisition financing (LBOs, MBOs, takeover bids), real estate financing, project finance, sale and leaseback.
Project finance
We assist clients in the financing and refinancing of projects in the energy, infrastructure, water services and environmental sectors, representing both sponsors and financial institutions. We have assisted major Italian and foreign industrial groups in the financing of combined cycle and waste-to-energy plants operating under both the tariff regime introduced by the CIP 6 Resolution and merchant plants, as well as in their refinancing. We have been operating for many years as consultants to banks and sponsors in connection with the non-recourse or non-recourse financing of wind farms, solar initiatives and biomass plants, also gaining experience in connection with projects that use public grants and funds and therefore require special financial structures. We have also structured leasing and financing transactions for portfolios of initiatives. We have a reputation for leadership in the water sector, having advised on some of the world’s largest IWPPs and major M&A projects. We have been involved in financing the construction and operation of integrated water systems and regasification terminals and related storage and depot facilities. Our professionals advise on the procurement and management of major infrastructure and transportation projects, acting for both sponsors and banks. We also advise on the legal aspects of engineering, design, procurement and management contracts and, increasingly, on environmental and regulatory issues.
Investment Funds
Our experience also extends to the promotion and establishment of harmonized, private and speculative investment funds. We also assist our clients in offering funds units and other harmonized UCIs in Italy.
Structured finance
We assist in the structuring and negotiation of complex structured finance transactions and derivative products and related litigation, ensuring sophisticated and multidisciplinary assistance by creating working groups composed of professionals active in our various fields of expertise.
